Hanover Compressor Company (NYSE:HC), today announced that it intends to file a Form 12b-25 with the SEC, which provides a 15-day extension with respect to the filing of its annual report on Form 10-K for the year ended December 31, 2003.
In August 2003, the Company exercised an option to acquire the remaining 49% interest in its subsidiary, Belleli Energy S.r.l., for approximately $15.0 million in order to gain control of Belleli. During the fourth quarter of 2003, Hanover completed its purchase price allocation and performed its annual impairment review of goodwill. ...
