SAN DIEGO -- Planet Polymer has set November 17, 2004 as the meeting date for its Annual Meeting and to vote on the combination of Planet with Allergy Free, LLC. On March 18, 2004, Planet and Allergy Free, LLC, a California limited liability company ("Allergy Free"), entered into an Asset Purchase Agreement, as amended ("Agreement"), in which Planet will acquire substantially all assets of Allergy Free and assume certain liabilities of Allergy Free, for which Planet will provide the following consideration; a subordinated note in the principal amount of approximately $274,300 for a term of 3 years and approximately 82,732,970 shares of Common Stock in Planet.
