Adobe Systems Inc (Nasdaq: ADBE) has entered into a definitive agreement to acquire Macromedia (Nasdaq: MACR).
The boards of directors of both software companies have approved the agreement, and the acquisition will take the form of an all-stock transaction valued at approximately USD3.4bn.
Macromedia stockholders will receive 0.69 shares of Adobe common stock for every share they hold of Macromedia common stock in a tax-free exchange. This represents a price of USD41.86 per share of Macromedia common stock, based on the closing ...
