TUCSON, Ariz. -- Ventana Medical Systems, Inc. (NASDAQ:VMSI) today announced that it will not increase the price offered under the Vision Systems Limited (ASX:VSL) Scheme of Arrangement and will immediately commence to file patent litigation against Vision in US federal court.
Pursuant to the terms of the Merger Implementation Agreement with Vision, Ventana expects to receive shortly a notice from Vision providing it with a right to match the price offered by Cytyc Corporation (NASDAQ:CYTC) in the takeover offer announced September 14, Australian time. If it does not match the offer, Ventana expects the Vision Board will terminate the Scheme.
