JACKSON, Mich., March 10 /PRNewswire/ -- Patrick Petroleum Company (NYSE: PPC) ("Patrick") today announced that it has signed a definitive merger agreement with La/Cal Energy Partners of Shreveport, Louisiana ("La/Cal"). The transaction will take the form of a tax-free exchange of common stock as further described below. The proposed transaction has been approved by the Board of Directors of Patrick and the management committee of La/Cal and is subject to approval by their respective shareholders and partners as well as other customary conditions and approvals. The dates for the shareholder and partner votes have not yet been determined.
