(Nasdaq: BIRI) announced that it has filed with the Securities and Exchange Commission a Registration Statement for the proposed issuance of 23,500,000 shares of its common stock in connection with the acquisition of The Colonel's, Inc. Following the effectiveness of the Registration Statement, the shareholders of Brainerd International, Inc., will meet to vote upon the approval of the acquisition of The Colonel's, Inc. It is currently expected that the meeting will be held on June 15, 1995.
