WALKERSVILLE, Md., May 1 /PRNewswire/ -- BioWhittaker, Inc. (NYSE: BWI) announced today that it has signed an agreement with Boehringer Ingelheim International GmbH ("Boehringer") to sell its interest in the joint venture for the manufacture in Verviers, Belgium of cell culture products. For BioWhittaker's interest, Boehringer will pay $4,674,000 in cash.

Boehringer has informed BioWhittaker of its intent to integrate into the joint venture the operations of Boehringer's affiliated distributors in Spain, Austria and Germany, and restructure the operations for the joint venture to expand its operations and improve operating margins.
