FRESNO, Calif., May 12 /PRNewswire/ -- ValliCorp Holdings, Inc. (Nasdaq: VALY) ("ValliCorp") and El Capitan Bancshares, Inc. (El Capitan) today jointly announced their intention to merge. The companies have signed a definitive agreement calling for ValliCorp to acquire the outstanding shares of El Capitan in a stock exchange. Under the terms of the definitive agreement, El Capitan shareholders would receive approximately 2.3 shares of ValliCorp common stock for each share of El Capitan common stock, and El Capitan's subsidiary, El Capitan National Bank, would be consolidated into ValliCorp's lead subsidiary bank, ValliWide Bank.
