Commerce Bank and Trust Co. of Worcester, Mass., is suing Toronto-Dominion Bank, and its U.S. unit banking arm, TD Banknorth Inc., to prevent the Portland, Maine, unit from using the TD Commerce Bank brand.

In its complaint filed Monday with the U.S. District Court for Massachusetts, the $1 billion-asset Commerce Bank and Trust claims that TD Banknorth's use of the Commerce name would constitute trademark infringement.

Toronto-Dominion, which announced the plan to change TD Banknorth's brand last month, acquired Commerce Bancorp Inc. of Cherry Hill, N.J., on Monday.
