NEW YORK, Jan. 19 /PRNewswire/ -- Marisa Christina, Inc. (Nasdaq:MRSA) today announced the signing and closing of an agreement under which Marisa Christina has consolidated with Adrienne Vittadini Inc. by acquiring certain assets and assuming certain liabilities.
Under the terms of the transaction, Marisa Christina has also acquired the Adrienne Vittadini trademark and its wholesale and licensing operations. The terms of the transaction provide for the payment of approximately $19 million in cash and stock at closing with additional consideration to be paid based on the profitability of Adrienne Vittadini Inc. in 1998 and 2000, up to a maximum purchase price of $58 ...
