MEMPHIS, Tenn.--(BUSINESS WIRE)--April 2, 1996--Midland Financial Group, Inc. (Nasdaq/NM-MDLD) today announced that its audited book value per share for 1995 totaled $9.06.

As previously announced, the Company has signed a definitive agreement to merge with Danielson Holding Corporation (AMEX-DHC). The agreement calls for Midland's stockholders to receive consideration equal to 1.6 times book value at December 31, 1995, in a combination of cash and preferred and common shares in Danielson. Based on Midland's audited book value per share of $9.06 at year end 1995, this combination of cash and securities is valued at $14.50 per share.
