BPZ Resources, Inc. yesterday filed with the Securities and Exchange Commission (SEC) a Registration Statement on Form S-3 which registered 1.5 million shares issued in relation to the conversion of the $15.5 million "C" Loan in May 2008, as well as 200,000 shares associated with the $40 million secondary offering in March 2008, as required per the respective loan and stock purchase agreements with the International Finance Corporation (IFC). This filing was solely intended as a registration of those shares and does not constitute an offer by IFC to sell any of the shares.
