Article: National Data Corporation Completes Convertible Debt Offering

ATLANTA, Nov. 1 /PRNewswire/ -- National Data Corporation (NYSE: NDC) today announced that it has completed its offering of $125,000,000 of 5% convertible, subordinated notes due November 1, 2003. The underwriters have an over-allotment option to purchase an additional $18,750,000 aggregate principal amount of the notes. The notes are convertible at any time prior to maturity, at the option of the holder, into shares of common stock of National Data at a conversion rate of 19.1465 shares per each $1,000 principal amount of notes (equivalent to a conversion price of approximately $52.229 per share).
