DENVER -- Golden Star Resources Ltd. (NYSE Alternext US: GSS) (TSX: GSC) (GSE: GSR) has filed a shelf registration on Form S-3 with the U.S. Securities and Exchange Commission (SEC) to replace its current registration statement that expires on December 1, 2008.

The expiring registration statement allowed the Company to offer up to $300 million of its common shares, preferred shares, warrants, convertible debt securities, or any combination of these securities, on one or more offerings from time to time.
