TORONTO--(BUSINESS WIRE)--June 9, 1997--Newmex Mining Company (TSE MEX. ) Santa Cruz Gold Inc. (TSE SCG.)--Santa Cruz Gold Inc. (SCG - TSE) and Newmex Mining Company Ltd. (MEX - TSE) are pleased to announce that they have agreed to merge, subject to requisite shareholder, court and regulatory approvals.
Under the terms of the agreement, Santa Cruz and Newmex will amalgamate to form a new company ("Amalco") whereby each holder of Santa Cruz shares will be entitled to one Amalco share for each Santa Cruz share and each holder of Newmex shares will be entitled to 2.2 Amalco shares for each Newmex share.
