TORONTO, ONTARIO and SYDNEY, AUSTRALIA, Nov 10, 2009 (Marketwire via COMTEX) -- Olympus Pacific Minerals Inc. (TSX:OYM) (Olympus) and Zedex Minerals Limited (ASX:ZDX) (Zedex) are pleased to announce that they intend to merge.
Description of the Proposed Merger
Zedex is New Zealand incorporated and it is intended the merger be completed by way of an amalgamation under the New Zealand Companies Act 1993 (NZ Companies Act) between Zedex and a wholly-owned New Zealand incorporated subsidiary of Olympus, Olympus Pacific Minerals NZ Limited (Olympus NZ) (Amalgamation). An Amalgamation Implementation Agreement has been executed today by the parties.
