LAKE SUCCESS, N.Y., Sept. 22 /PRNewswire/ -- Tender Loving Care Health Care Services Inc. (NASDAQ-NMS: TLCI) and Staff Builders Inc. (NASDAQ-NMS: STAF) announced jointly today that they had signed a definitive merger agreement under which Staff Builders will become a wholly owned subsidiary of Tender Loving Care.
Before approving the merger agreement, the board of directors of Staff Builders considered an offer which it had received from Superior Care Inc. to acquire Staff Builders and determined, after consulting with its investment banker, that the proposed transaction with Tender Loving Care is more favorable to Staff Builders' shareholders.
