-- redenominate the nominal value of its shares from Spanish Pesetas to

Euros in accordance with the official exchange rate for Euros (166.386

pesetas per Euro), resulting in an approximate share capital of Euros

1,267,523,145.04 and a nominal value of approximately Euros 0.69 per

share;
