The Directors of HSBC Holdings plc announced on 22 February 1999 an intention to seek a listing on the New York Stock Exchange and proposals to consolidate the existing share capital into a single class of Ordinary Shares.

At the Annual General Meeting on 28 May 1999 the shareholders of HSBC Holdings plc approved the reorganisation of the Company's ordinary share capital under which shareholders will receive 3 new US$0.50 Ordinary Shares for each HK$10 or 75 pence Ordinary Share held.
