* Comparex acquires 10% of Utimaco

Frankfurt, Germany -- Utimaco Safeware AG announced today that it had acquired KryptoKom from Comparex Deutschland Holding GmbH in exchange for new shares to be issued by Utimaco. Pursuant to the transaction, Comparex will own a strategic shareholding of 10% in Utimaco. Based upon the closing price of Utimaco's shares on July 1, 1999, the effective date of the transaction, the consideration represents a transaction value of approximately Euro 26 million.
