Multi-Tek Technologies Inc. (the ``Corporation'') and Tactex Controls Inc., a private company (``Tactex''), are pleased to announce that they have amalgamated to form a new company called Tactex Controls Inc. (the ``Amalgamated Corporation'').
The amalgamation was subject to several conditions, including shareholder approval of the Corporation and Tactex; the completion of a private placement of 6,000,000 Class B shares of Tactex Controls Inc., the private company, for aggregate gross proceeds of $1,500,000, and regulatory approvals including the conditional approval of the CDNX.
