FORM NEW WASTE-TO-ENERGY ENTERPRISE

OAK BROOK, Ill., April 21 /PRNewswire/ -- Waste Management, Inc. (NYSE; WMX) and The Henley Group, Inc. (NASDAQ: HENG) have agreed to form a new waste-to-energy enterprise that will have both assets and annual revenues in excess of $1 billion.

The new company, to be called Wheelabrator Technologies Inc., will be the nation's leading waste-to-energy enterprise and will consist of Henley's 80 percent-owned Wheelabrator Technologies subsidiary and all of the waste-to-energy assets of Waste Management.
