KOMORI PRINTING MACHINERY ANNOUNCES PLANS

TO ACQUIRE HARRIS GRAPHICS, WEB PRESS GROUP

TOKYO, June 27 /PRNewswire/ -- Komori Printing Machinery Co. Ltd., Tokyo, announced today that on June 24 it reached an agreement in principal with AM International Inc. (NYSE: AM) to acquire the Web Press Group of Harris Graphics Corp. Harris Graphics' Web Press Group is a wholly owned subsidiary of AM International.

Under terms of the proposed acquisition, Komori would convey to AM US$181 million cash and 4,869,900 shares of AM's common stock which Komori and its financial advisor, St. Thomas Investments Inc., collectively own. The 3,869,900 ...
