FCB ADOPTS NEW STOCKHOLDER RIGHTS PLAN

REGULAR QUARTERLY DIVIDEND DECLARED

NEW YORK, Nov. 16 /PRNewswire/ -- Foote, Cone & Belding Communications, Inc. (NYSE: FCB) announced today that its board of directors, at a regularly scheduled meeting, adopted a new Stockholder Rights Plan and, in a related action, authorized the redemption of the company's existing rights, which were distributed in March 1986.

The board also declared a regular quarterly dividend of $.30 per share, payable on Jan. 3, 1989, to stockholders of record at the close of business on Nov. 28, 1988.
