JOINT VENTURE, THE UNO-VEN COMPANY

LOS ANGELES, Oct. 31 /PRNewswire/ -- Unocal Corp.'s (NYSE: UCL) wholly owned operating subsidiary, Union Oil Company of California, and Venezuela Petroleum Holdings, Inc. (VPHI), a wholly owned subsidiary of Petroleos de Venezuela, S.A. (PDVSA), and their affiliates today signed the definitive agreements to create a petroleum refining and marketing general partnership in the U.S. Midwest. Closing is expected to occur by Nov. 30, 1989.
