Henley Group Inc. will wage a proxy battle to elect its own
slate of directors to the board of Santa Fe Southern Pacific Corp.
La Jolla, Calif.-based Henley, which owns nearly 15 percent of
Chicago-based Santa Fe, said Tuesday it wants to discuss its
intentions with Olympia & York Developments Ltd., which has a 9.3
percent stake in Santa Fe.
Henley has not yet met with Olympia & York. Henley believes
that any discussions would trigger Santa Fe's anti-takeover plan
because the firms together own more than 20 percent of Santa Fe.
The terms of five of Santa Fe's 17 directors will expire at the
annual meeting this year, tentatively scheduled for April 26 in
Chicago.
